Overview

This website and our store on the Shop app are operated by UniverSoul Enterprises, Inc., doing business as The Black Art Depot ("The Black Art Depot," "we," "us," or "our"), located at 154 Selig Drive SW, Suite A, Atlanta, GA 30336.

By visiting our website, using our store on the Shop app, or purchasing from us, you engage in our "Service" and agree to these Terms of Service ("Terms"), including the policies referenced here and available by link: our Returns and Refund Policy, Shipping Policy, and Privacy Policy. These Terms apply to all users, including browsers, customers, vendors, and contributors of content.

Please read these Terms carefully. If you do not agree, do not use the Service or place an order.

Our store is hosted on Shopify Inc., which provides the e-commerce platform and checkout we use to sell our products to you. Purchases made through the Shop app are also subject to Shop's own terms.

Section 1: Eligibility and Online Store Terms

  • You must be at least the age of majority in your state or province of residence to place an order. Minors may use the Service only with the involvement and consent of a parent or guardian.
  • You may not use our products or the Service for any illegal or unauthorized purpose, or violate any law in your jurisdiction, including copyright laws.
  • You must not transmit any worms, viruses, or code of a destructive nature.
  • A breach of these Terms may result in immediate termination of your access to the Service.

Section 2: General Conditions

  • We reserve the right to refuse service to anyone for any lawful reason at any time.
  • Your content (not including payment card information) may be transferred over various networks and adapted to technical requirements. Payment card information is always encrypted during transfer and is processed by our payment providers, not stored by us.
  • You may not reproduce, duplicate, copy, sell, resell, or exploit any part of the Service or its content without our express written permission.
  • Headings in these Terms are for convenience only and do not limit or affect these Terms.

Section 3: Orders and Acceptance

Your order is an offer to purchase. An order confirmation email confirms we received your order; it does not mean we have accepted it. We accept your order when we ship it. We may decline or cancel any order, including for suspected fraud, pricing or listing errors, or stock unavailability. If we cancel an order after you have been charged, we will refund the full amount charged for the canceled items.

We may limit or cancel quantities purchased per person, household, or order, including orders placed under the same account, payment card, or billing or shipping address. We may limit or prohibit orders that appear to be placed by dealers, resellers, or distributors. If we change or cancel your order, we will try to notify you using the email, address, or phone number provided with the order.

Section 4: Prices, Payment, and Taxes

  • All prices are in U.S. dollars. Prices and product availability may change without notice, but changes do not affect orders we have already accepted.
  • Applicable sales tax and shipping charges are shown at checkout before you place your order.
  • You agree to provide current, complete, and accurate purchase and account information and to keep it updated so we can complete your transactions and contact you as needed.
  • Discount codes and promotions are subject to their stated terms, cannot be combined unless stated, have no cash value, and may be withdrawn at any time. We may cancel orders that use codes obtained or applied improperly.
  • If gift cards are offered, they are not redeemable for cash except where required by law and cannot be used to buy other gift cards.

Section 5: Products, Artwork, and Descriptions

  • We make every effort to display the colors and images of our products accurately. Actual colors may vary depending on your screen, and printed materials may differ slightly from on-screen images.
  • Many of our products are handmade or handwoven by artisans. Natural variations in color, texture, size, and pattern are part of their character and are not defects.
  • Stated dimensions are approximate. Framed, matted, and canvas items may vary slightly from listed measurements.
  • Some products may be available only online and in limited quantities. We may discontinue any product at any time. Any offer is void where prohibited.

Section 6: Shipping, Title, and Risk of Loss

Estimated shipping and delivery times are estimates, not guarantees. Orders may ship in more than one package. Title and risk of loss pass to you when we deliver your order to the carrier. This does not limit your rights under our Returns and Refund Policy for items that arrive damaged, defective, or incorrect. Please see our Shipping Policy for details.

Section 7: Returns and Refunds

Returns, refunds, and replacements are governed by our Returns and Refund Policy. If anything in these Terms conflicts with that policy on a returns or refund matter, the Returns and Refund Policy controls.

Section 8: Intellectual Property

All content on the Service, including text, graphics, logos, product images, and the name THE BLACK ART DEPOT, is owned by us or our licensors and protected by copyright, trademark, and other laws. Artwork we sell remains the intellectual property of the artist or rights holder. Purchasing a print, poster, canvas, or other product gives you ownership of that physical item only. It does not give you the right to copy, reproduce, scan, sell reproductions of, or commercially use the artwork or images.

Section 9: Accuracy of Information and Errors

Information on the Service is provided for general information only. Occasionally the Service may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We may correct errors and change information or cancel orders if information is inaccurate at any time, including after you have submitted your order. If we cancel an order due to an error after charging you, we will refund you in full.

Section 10: Modifications to the Service

We may modify, suspend, or discontinue the Service or any part of it at any time. We are not liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.

Section 11: Third-Party Tools and Links

We may provide access to third-party tools, apps, and websites that we do not monitor or control, including payment, shipping, review, chat, and financing providers. These are provided "as is" and your use of them is at your own discretion and subject to the third party's terms and policies. We are not responsible for third-party content, products, or services. Questions about third-party products or services should be directed to that third party.

Section 12: Customer Reviews and Submissions

We welcome honest reviews from customers who have purchased or used our products. Reviews must reflect your genuine experience. We do not pay for or offer incentives for positive or negative reviews, and we do not suppress reviews because they are negative. We may decline to publish or may remove reviews or comments that are unrelated to the product or service, contain false or misleading information, are abusive, obscene, defamatory, or discriminatory, contain personal information, promote other businesses, or violate someone's intellectual property or other rights.

By submitting a review, comment, idea, or other material ("submissions"), you grant us a non-exclusive, royalty-free, perpetual license to use, edit, publish, and display it in any medium in connection with our business. We have no obligation to keep submissions confidential, to pay for them, or to respond to them. You are responsible for your submissions and agree they will not violate any law or third-party right, contain malware, or use a false identity.

Section 13: Marketing Communications

If you sign up for our emails or text messages, you agree to receive marketing messages from us at the contact information you provide. Consent is not a condition of purchase. Message frequency varies, and message and data rates may apply for texts. You can unsubscribe from emails at any time using the link in any email, and from texts by replying STOP. We will still send transactional messages about your orders.

Your use of the Service and submission of personal information are governed by our Privacy Policy, which explains what we collect, how we use cookies and similar technologies, and the choices available to you, including through our cookie consent tools.

We are committed to making our website usable by all people, including people with disabilities, and we work to improve accessibility on an ongoing basis. Section 16: Prohibited Uses

In addition to other prohibitions in these Terms, you may not use the Service or its content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in unlawful acts; (c) to violate any international, federal, state, or local law or regulation; (d) to infringe our intellectual property rights or those of others; (e) to harass, abuse, insult, harm, defame, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information, including fraudulent orders or chargebacks; (g) to upload or transmit viruses or malicious code; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape, including to train artificial intelligence or machine learning models on our content or images; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service. We may terminate your use of the Service for violating any prohibited use.

Section 17: Disclaimer of Warranties

Except as expressly stated in these Terms and our Returns and Refund Policy, the Service and all products are provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not guarantee that the Service will be uninterrupted, timely, secure, or error-free. Some states do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you.

Section 18: Limitation of Liability

To the fullest extent permitted by law, The Black Art Depot and our directors, officers, employees, affiliates, agents, contractors, suppliers, service providers, and licensors will not be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, lost revenue, lost data, or replacement costs, arising from your use of the Service or any product. Our total liability for any claim relating to a product or order will not exceed the amount you paid for that product or order. Nothing in these Terms limits liability that cannot be limited under applicable law.

Section 19: Indemnification

You agree to indemnify, defend, and hold harmless The Black Art Depot and our affiliates, officers, directors, employees, agents, contractors, licensors, service providers, and suppliers from any third-party claim or demand, including reasonable attorneys' fees, arising from your breach of these Terms or the documents they incorporate, or your violation of any law or the rights of a third party.

Section 20: Events Beyond Our Control

We are not responsible for delays or failures in performance caused by events beyond our reasonable control, including carrier delays, severe weather, natural disasters, supply shortages, labor disputes, government actions, internet or utility outages, or public health emergencies.

Section 21: Dispute Resolution

If you have a concern about an order or the Service, please contact us first at [email protected] with your name, order number, and a description of the issue. Most concerns are resolved quickly this way. You and we agree to try in good faith to resolve any dispute informally for at least 30 days before starting a formal proceeding. Either party may bring an individual claim in small claims court if it qualifies.

Section 22: Governing Law and Venue

These Terms and any separate agreements under which we provide the Service are governed by the laws of the State of Georgia, without regard to its conflict of law rules. Except for claims brought in small claims court, any legal action relating to these Terms or the Service will be brought in the state or federal courts located in Fulton County, Georgia, and you consent to the jurisdiction of those courts.

Section 23: Electronic Communications

By using the Service or placing an order, you consent to receive communications from us electronically, including order confirmations and notices. These electronic communications satisfy any legal requirement that such communications be in writing.

Section 24: Severability and Waiver

If any provision of these Terms is found unlawful, void, or unenforceable, it will be enforced to the fullest extent permitted by law and the unenforceable portion will be severed, without affecting the remaining provisions. Our failure to enforce any right or provision is not a waiver of that right or provision.

Section 25: Termination

These Terms remain in effect until terminated by you or us. You may terminate them at any time by ceasing to use the Service. We may terminate these Terms or your access to the Service at any time if we reasonably believe you have violated them. Obligations and liabilities incurred before termination survive termination.

Section 26: Entire Agreement and Assignment

These Terms and the policies referenced in them are the entire agreement between you and us regarding the Service and supersede any prior versions and communications. We may assign our rights and obligations under these Terms. You may not assign yours without our written consent. Any ambiguity in these Terms will not be construed against the drafting party.

Section 27: Changes to These Terms

We may update these Terms by posting a revised version with a new "Last updated" date. Changes apply to orders placed and use of the Service after the revised Terms are posted and do not apply to orders already placed or to disputes that arose before the change. Please review these Terms periodically.
